1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of NexAI, a virtual AI assistant platform developed by SoftNursery Limited, including its website, software, integrations, and services ("Service"). By accessing or using NexAI, you agree to these Terms. If you do not agree, you may not use the Service.

2. Account Eligibility & Registration

  • You must be at least 18 years old and legally able to enter into contracts to register for and use NexAI.
  • When registering, you agree to provide accurate and complete information and to keep your account credentials secure.
  • You are responsible for all activities under your account, including those by your authorized team members and live agents.

3. Description of Services

NexAI enables businesses to integrate AI-powered assistants into platforms such as websites, Facebook Messenger, and other messaging channels. Key capabilities include:

  • 24/7 automated customer support
  • Facebook Messenger integration for automated business communication
  • Multi-domain support with one Facebook Page per domain
  • Lead capture and appointment booking
  • Knowledge base training
  • Smart sales recommendations
  • Token-based usage tracking
  • Live agent handover functionality with human oversight
  • Seamless AI-to-human conversation transitions

4. Platform Integration & Third-Party Services

  • NexAI integrates with Facebook Messenger Platform to provide automated customer support through Facebook Pages.
  • Each business domain can connect to one Facebook Page and configure AI assistant responses based on their business needs.
  • Your use of Facebook Messenger integration is subject to Facebook's Platform Policies and Terms of Service.
  • We utilize third-party AI technology services to process messages and generate automated responses.
  • Live agent functionality allows human representatives to monitor and take over conversations when needed.

5. Subscription & Billing

  • NexAI is offered via subscription plans billed monthly or annually.
  • Each plan includes specific token usage, feature access, and live agent support capabilities.
  • Overages: If token consumption exceeds your plan limit, additional charges may apply, as disclosed on your billing page.
  • Payments are processed via third-party providers (Stripe, Paddle, or PayPal). We do not store your payment information.

6. Trial Period & Cancellation

  • New customers may be offered a limited-time free trial.
  • Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing cycle.
  • You can cancel at any time from your admin panel or by contacting support at support@nexaichat.com

7. Token Usage & Fair Use Policy

  • Your plan includes a defined token quota (number of messages/responses processed by the AI assistant).
  • Abuse or excessive usage beyond reasonable expectations may result in temporary throttling or account review.
  • Live agent conversations may have different usage calculations based on your subscription package.

8. Acceptable Use

You agree not to use NexAI to:

  • Violate any local, state, or international law.
  • Send unsolicited or illegal promotional materials (spam)
  • Impersonate others or misrepresent your business
  • Train AI on harmful, discriminatory, or unlawful content
  • Circumvent security measures or overload the system
  • Violate Facebook Platform Policies when using Messenger integration
  • Use the platform to harass or abuse users across any integrated channel

9. Suspension & Termination

SoftNursery Limited reserves the right to suspend or terminate your account without notice if:

  • You violate these Terms or applicable laws
  • You fail to pay fees or exceed token limits abusively
  • Your usage poses a threat to platform integrity or third parties
  • Your Facebook Page integration violates Facebook Platform Policies
  • Live agents engage in inappropriate conduct or policy violations

10. Intellectual Property

  • NexAI and all associated branding, interfaces, and code are the intellectual property of SoftNursery Limited.
  • Businesses retain ownership of the content they upload to train their AI assistant (product info, knowledge base, documents).
  • Live agent conversations and business communications remain the property of the respective business owners.

11. AI Assistant Limitations & Live Agent Support

  • The AI assistant is an automated system designed to provide customer support. Responses are generated using artificial intelligence technology and may not always be accurate or appropriate for every situation.
  • Live agent handoff is available based on subscription packages, allowing human representatives to take over conversations when complex support is needed.
  • We recommend human oversight and live agent monitoring for sensitive, regulated, or complex customer interactions.
  • Businesses are responsible for training their live agents and ensuring appropriate conduct during customer interactions.

12. Limitation of Liability

  • NexAI is provided "as-is." We do not guarantee that the AI assistant will always generate accurate or legally compliant responses.
  • To the maximum extent permitted by law, SoftNursery Limited is not liable for:
    • Any indirect, incidental, or consequential damages
    • Loss of data, revenue, customers, or business
    • Errors in third-party integrations (Facebook Messenger, etc.)
    • Actions or conduct of live agents or human representatives
    • Interruptions in AI processing or response generation services

13. Disclaimer

  • NexAI is an AI-powered assistant platform with live agent support capabilities. Any decision or action taken based on AI outputs or live agent communications is at the sole discretion of the business user and their customers.
  • We recommend human supervision and live agent oversight in sensitive or regulated contexts (legal, medical, or financial queries).
  • Integration with Facebook Messenger is subject to Facebook's platform availability and policies.

14. Changes to the Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after updates constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Dhaka, Bangladesh. Any disputes arising out of these Terms will be resolved through binding arbitration in accordance with the rules of the specified country.

16. Refund & Cancellation Policy

At NexAI, we are committed to providing value and flexibility to our users. This policy ensures transparency around cancellations and refunds.

  • 14-Day Money-Back Guarantee:If you are not satisfied with NexAI, you may request a full refund within 14 days of purchase, provided your usage is within reasonable limits and no custom integrations or onboarding were performed.
  • Cancellation:You may cancel your subscription anytime from the dashboard or by emailing support@nexaichat.com. Upon cancellation, your service will remain active until the current billing period ends. No partial refunds will be provided for the remaining days or unused tokens after the 14-day period.
  • Refund Denials:We may deny refund requests if abuse is suspected, the account has already received a refund in the last 90 days, or usage exceeds acceptable limits during the trial
  • Contact for Refunds: Email support@nexaichat.com with your account details and reason for the refund request. We usually respond within 1–2 business days.
